General Terms and Conditions

1. Usage

1.1 Normal sales and delivery conditions apply for all contracts. Scanlux Packaging is registered in Denmark with the company number DK71051218, with registered office located in Kratbjerg 308, 3480 Fredensborg.

2. The Order

2.1 Scanlux Packaging is not liable for failure to complete an order due to unexpected events, such as a strike, lockout, material shortage, changes in legislation or similar circumstances beyond Scanlux Packaging’s control.

2.2 A written order confirmation is binding and the points detailed in this are part of the purchase.

3. Price

3.1 The confirmed price may still change, subject to increases in the price of raw materials, exchange rates, shipping, taxes, fees, expenses, changes in legislation etc. If the confirmed payment terms are not kept to, interest of 2% per month will be added from due date until payment.

3.2 All prices given are exclusive of VAT, printing plates and DTP/repro work.

3.3 The confirmed price includes any possible packaging tax of the product, which, according to Scanlux Packaging’s best estimate, must be paid to The Danish Tax Agency. The Customer shall compensate Scanlux Packaging for any additional tax, including if new or increased taxes are introduced or if Scanlux Packaging has, contrary to expectations, underestimated the extent of the tax liability.

3.4 If Scanlux Packaging states a price as “including packaging tax”, this only means that any tax, which according to Scanlux Packaging’s best estimate must be paid to The Danish Tax Agency, is included in the price. The statement may also mean that no tax is included in the price because, in Scanlux Packaging’s best estimation, no tax is payable on the product. On request, Scanlux Packaging will provide information on the extent to which a price includes an actual amount of tax.

3.5 The products that Scanlux Packaging A/S sells will typically be covered by producer responsibility for packaging placed on the market in the EU. If Scanlux Packaging A/S is assigned producer responsibility for the goods sold to the buyer, Scanlux Packaging A/S may invoice all the resulting costs to the buyer. Billing of such costs can be done retroactively. 

4. Environment Fee

4.1 An environmental fee of 3,85% of the invoice amount up to a maximum of 58 EUR/48 GBP and a minimum of 5,00 EUR/4 GBP per invoice will be added.

The environmental fee covers:

  • Environmental costs we incur from our carriers
  • Energy taxes including CO2 taxes
  • Compliance with environmental authorisations
  • Correct sorting and disposal of large amounts of waste according to legislation
  • Use of recyclable packaging in production
  • New initiatives for electronics and IT equipment
  • Development of CO2 calculator and other tools and procedures to minimise pollution/CO2 emissions
  • New initiatives (e.g. solar cells, LED replacement, etc.).
  • An external audit is performed twice a year by an accredited certification body, which ensures that all tracking processes are complied with and that Scanlux continuously maintains and develops new environmental goals and action plans.

5. Special conditions for the purchase of standard products through distance selling (webshop, telephone and the like)

5.1 Standard products are shipped on weekdays following receipt of order.

5.2 Payment for the standard products ordered will be deducted when the products are shipped from our warehouse.

5.3 Customers have the right to return standard items within 14 days from the receipt of the order. Shipping costs in connection with returning items are at the customer’s own expense.

5.4 Products from the “Outlet” section are non-refundable.

5.5 Returned standard items will be fully refunded on the condition that the packaging remains unbroken and they are returned properly packaged for transportation.

5.6 Subject to printing and printing errors, and sold-out standard products.

5.7 On orders under EUR/GBP 200,- excl. VAT, a charge of EUR/GBP 7,- excl. VAT is included in the processing fee. This excludes webshop orders.

5.8 All prices for standard products exclude taxes and VAT.

6. Tolerances

6.1 Scanlux Packaging reserves the right to reasonable tolerances with regards to sizing, fit and placement of prints, shades of colours, material thickness: Width and length +/- 10 mm., print placement +/- 10 mm., material thickness +/- 10%.

6.2 The following tolerances apply for quantity:

    Batches of under 30.000 pcs. +/- 20%
    Batches of over 30.000 pcs. +/- 15%

6.3 Minor fluctuations in color shades may occur and do not warrant a complaint. This also applies in cases where any color samples have been received.

    • Batches of under 100.000 pcs. +/- 15%
    Batches of over 100.000 pcs. +/- 10%

6.4 Scanlux Packaging is not obliged to provide replacements or compensation in cases of colour transfer or fading. Please note that colour transfer can occur with printed bags.

7. Ownership

7.1 The product remains the property of Scanlux Packaging until the full purchase price has been paid.

7.2 Printing plates produced at the customer’s expense can be given to the customer on request – related delivery costs are to be covered by the customer.

7.3 Printing plates produced at Scanlux Packaging’s expense due to replacements, etc., remain the property of Scanlux.

7.4 Printing plates are stored at Scanlux Packaging and destroyed after 18 months unless an alternative arrangement is agreed upon in writing.

7.5 Tools and printing cylinders are produced at the customer’s expense but remain the property of Scanlux Packaging and will not be given to the customer. Printing cylinders are stored at Scanlux and ‘cleaned’ (destroyed) after 18 months.

8. Faulty Goods Claims

8.1 Claims of faulty goods should be submitted in writing and received by Scanlux Packaging eight days after receipt of the goods at the latest. Returned goods will only be accepted by agreement. In cases where there are errors in the delivered products, Scanlux Packaging is obliged only to exchange them for new products.

8.2 If the wrong product is delivered and must be exchanged at Scanlux Packaging’s expense, the product delivered in error may be used in the meantime. Use of this product will be invoiced with a 25% discount (excl. any taxes).

9. Delivery

9.1 Delivery is ex warehouse.

9.2 There must always be a recipient present upon delivery who can acknowledge receipt of the goods.

    9.2.1 Scanlux Packaging reserves the right to invoice for extra delivery/transport costs if no recipient is available at the address to receive and acknowledge receipt of the goods.
    9.2.2 The delivery must always be checked for faults, defects and damage prior to receipt acknowledgement.
    9.2.3 Delivery without receipt acknowledgement at the recipient’s address must be agreed when the order is placed. Please note that in this case, responsibility for the delivery is transferred to the buyer from the point at which the goods are placed at the address agreed upon.

9.3 Pallet deliveries are subject to fees:

    1/2 pallet EUR 13,95/GBP 11,95
    1/1 pallet EUR 19,95/GBP 17,95

10. Consequential Loss

10.1 Scanlux Packaging cannot be held liable for any loss of production, operational losses or loss of revenue, unless this is agreed upon in writing in a special contract.

11. Cancellations

11.1 The order can be cancelled at any time. When cancelling, the customer is liable for all costs incurred by Scanlux Packaging in connection with the order, including raw materials, purchase of printing plates, production costs, repro time, delivery costs, etc.

12. Marketing

12.1 Scanlux Packaging is free to use the work ordered by the customer for marketing and PR.

12.2 Scanlux Packaging adds its own logo, possibly a slogan/pay-off and a reference to the websites scanlux-packaging.com or scanlux.com at the bottom or the side fold, if no alternative has been agreed upon.

12.3 Environmental and CSR messages can be printed at the bottom or the side fold unless an alternative has been agreed upon.

13. Delays

13.1 Delays with respect to the confirmed delivery time do not entitle the customer to compensation or modifications to the price. The order can only be cancelled with delay as the reason, in accordance with the above cancellation terms.

14. Governing Law and Jurisdiction

14.1 The parties in this Agreement are subject to and governed by in accordance with the laws of Denmark.

14.2 The parties submit all their disputes arising out of or in connection with this Agreement to the exclusive jurisdiction of the Courts of Denmark.
